Sustainability Business Structure

S Hotels and Resorts Public Company Limited (“SHR”) recognises that climate change and broader ESG (Environmental, Social, and Governance) risks are among the most critical challenges influencing long-term business sustainability and resilience. The company has established a comprehensive governance structure to ensure that climate and ESG considerations are effectively integrated into business strategy, risk management, and operational decision-making.

Governance LevelRoles and Responsibilities
Board of DirectorsHolds ultimate responsibility for overseeing climate change, ESG and sustainability matters. The Board has appointed the Corporate Governance and Sustainability Committee and Risk Management to support policy-making and provide recommendations on appropriate risk management to optimize business operations risks and ensuring their integration into the Company's strategic direction and long-term objectives. The Board provides guidance and monitors progress toward the Company's Carbon Neutrality by 2030 target and other sustainability commitments.
Corporate Governance and Sustainable Development Committee (CG&SD Committee)The Committee, acting under delegation from the Board, oversees climate-related and ESG performance. The Committee reviews climate and ESG risks, evaluates sustainability performance, and provides strategic recommendations for continuous improvement, reporting directly to the Board.
Risk Management Committee (RMC Committee)Monitors and evaluates ESG and climate-related risks within the enterprise risk management (ERM) framework. Conducts quarterly risk assessments covering environmental, social, and governance dimensions, with results reported to the Board to support effective oversight and risk mitigation.
Chief Executive Officer (CEO) and Senior ManagementResponsible for implementing the Board-approved climate and ESG strategies across the organization. Execution is supported by the Sustainability Development Section and relevant functional departments to ensure integration into operations.
Operations Department (Sustainability Development Section)Coordinates and supports the implementation of sustainability and climate initiatives across operations, translating corporate ESG strategy into operational plans, guidelines, and performance monitoring.
Hotel Sustainability Working Group (SD Community)Drives ESG initiatives at the operational level by working collaboratively with executives and employees across all departments and subsidiaries. Supports implementation, data collection, awareness, and continuous improvement in alignment with the Company's sustainable development goals.
